Business Setup in the UAE

Expert advisory, regulatory navigation, and administrative coordination for establishing compliant commercial entities across the United Arab Emirates.

Establishing a Sustainable Commercial Foundation

Starting a business in the United Arab Emirates connects your enterprise to one of the most stable, forward-looking, and internationally connected economies in the world. Whether launching an innovative technology startup, an international trading hub, a consulting firm, or an industrial facility, the UAE provides progressive legislation, advanced logistics, and access to regional and global markets.

However, successful company formation requires making informed architectural decisions early. Selecting the appropriate jurisdiction, aligning your business objectives with official economic activity classifications, choosing the optimal legal corporate form, and complying with UAE federal tax laws are vital for long-term operational success.

At SR Brothers Business Setup, we guide international investors, entrepreneurs, and established overseas enterprises through the precise statutory pathways required to incorporate, obtain trade licences, secure residency visas, and maintain full regulatory compliance across Dubai, Abu Dhabi, Sharjah, and all Northern Emirates.

Understanding the Three UAE Setup Frameworks

Every commercial entity in the UAE is incorporated under one of three distinct regulatory environments. Your choice dictates your operational territory, customer reach, and facility requirements.

Mainland Entity

Mainland Company Formation

Incorporated under the jurisdiction of the Department of Economic Development (DED) of the chosen Emirate. Ideal for companies seeking unconstrained commercial access.

  • Direct access to trade with consumer and B2B markets across the entire UAE
  • Eligibility to bid on government, municipal, and semi-governmental tenders
  • 100% foreign ownership on most commercial and industrial activities post-2021
  • Unrestricted physical office location anywhere within the licensing Emirate

Free Zone Entity

Free Zone Company Formation

Governed by independent regulatory authorities within designated zones. Ideal for global traders, tech ventures, consultancies, and digital entrepreneurs.

  • 100% foreign ownership standard across all business activities
  • Exemption from customs import duties within the designated zone
  • Complete repatriation of capital, investment funds, and corporate profits
  • Flexible workspace packages from shared flexi-desks to private facilities

Offshore Entity

Offshore Company Formation

An international business company (IBC) structured for cross-border operations, global asset protection, and corporate holding structures.

  • Established through licensed registered agents in JAFZA or RAK ICC
  • Ideal for holding international intellectual property, securities, or real estate
  • No requirement for physical office premises in the UAE
  • Cannot conduct direct commercial trade in the domestic UAE market or sponsor visas

Selecting the Optimal Legal Form for Your Entity

The legal form dictates shareholder liability, governance protocols, capital requirements, and statutory administration.

Limited Liability Company (LLC)

The most widely utilized corporate structure in the UAE. Shareholder liability is strictly limited to their capital contribution. Suitable for single shareholders (Single-Owner LLC) or multi-partner structures with up to 50 partners across commercial, industrial, and service activities.

Sole Establishment / Civil Company

A Sole Establishment is owned 100% by an individual professional. A Civil Company is a partnership formed by two or more professionals (e.g., engineers, doctors, consultants, lawyers) to provide specialist advisory or artisan services based on expertise.

Branch of a Foreign or UAE Company

Permits an existing overseas or domestic company to establish an operational branch in the UAE without forming a separate legal entity. The branch retains the parent entity’s name, executes identical commercial activities, and remains fully backed by the parent company.

Key Regulatory Considerations for UAE Businesses

Operating a successful UAE enterprise requires adherence to federal and local compliance mandates. Staying informed ensures seamless licensing renewals and risk mitigation.

Federal Corporate Tax (CT)

Under Federal Decree-Law No. 47 of 2022, the UAE applies a standard 9% Corporate Tax on taxable business profits exceeding AED 375,000. All taxable persons, including mainland and free zone companies, are legally required to register for Corporate Tax with the Federal Tax Authority (FTA) and submit annual tax declarations.

Value Added Tax (VAT)

VAT is charged at 5% on taxable supplies of goods and services. Mandatory registration is required when annual taxable supplies and imports exceed AED 375,000. Voluntary registration is available at AED 187,500. Timely quarterly or monthly VAT return filings are mandatory to prevent administrative fines.

Ultimate Beneficial Ownership (UBO)

In line with Cabinet Resolution No. 109 of 2020, UAE registered entities must maintain and file a Register of Ultimate Beneficial Owners (UBO), a Register of Partners/Shareholders, and a Register of Directors. Entities must notify their licensing authority of any changes within 15 days.

Anti-Money Laundering (AML/CFT)

Entities classified under Designated Non-Financial Businesses and Professions (DNFBPs)—such as corporate service providers, real estate brokers, auditors, and precious metals dealers—must register on the FIU goAML system and maintain strict compliance monitoring.

Labour & Emiratisation Regulations

Mainland businesses operating with MoHRE work permits must abide by the UAE Labour Law, register under the Wage Protection System (WPS), provide compliant employee medical insurance, and meet applicable national Emiratisation targets for qualifying private sector companies.

Annual Licence Renewal & Ejari

UAE trade licences must be renewed annually with the corresponding licensing authority. Mainland renewals require an active, validated lease contract (Ejari in Dubai, Tawtheeq in Abu Dhabi), while free zones require continuous registration of your facility package.

Frequently Asked Questions About Business Setup

Direct answers to essential questions regarding company formation in the UAE.

A mainland company is licensed by the relevant Emirate’s Department of Economic Development (DED) and is legally authorized to trade directly anywhere in the local UAE market, undertake government contracts, and conduct international trade. A free zone company is registered within a designated economic zone, offering 100% foreign ownership and customs benefits within the zone, but requires a local distributor or mainland branch to sell tangible goods directly inside the domestic UAE market.

Yes. Free zones have always offered 100% foreign ownership. Furthermore, following significant amendments to the UAE Federal Commercial Companies Law enacted in June 2021, foreign nationals can now own 100% of most commercial and industrial businesses on the UAE mainland without requiring a 51% Emirati shareholder. Only a small group of activities deemed of strategic national impact still require local participation.

The UAE levies Value Added Tax (VAT) at a standard rate of 5% on taxable supplies of goods and services (mandatory registration applies if taxable turnover exceeds AED 375,000 over the past 12 months). A federal Corporate Tax is effective at a standard rate of 9% on taxable net profits exceeding AED 375,000 per financial year, with specific qualifying relief and exemptions available for eligible free zone entities meeting qualifying conditions.

Visa allocation depends on your setup structure and workspace. For free zones, visa quotas are typically linked to the selected licence package (e.g., flexi-desk packages offer 1 to 3 visa allocations, while dedicated physical offices allow higher allocations). For mainland companies, visa quotas are governed by the Ministry of Human Resources and Emiratisation (MoHRE) and scaled to the physical square footage of your registered tenancy contract (Ejari).

Initial incorporation generally requires clear passport copies of all shareholders and managers, proof of residential address, entry visa/visit visa stamps (or existing Emirates ID and residence visa if already in the UAE), and three proposed corporate trade names. Professional or specialized activities may additionally require educational degrees, CVs, or external ministry approvals.
